1. Legal Entity & Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User") and Awarse Labs (CRO Business Name Registration No. 793328, registered in Ireland), operated by individual proprietor Sean Kildunne ("we", "us", "our").

By accessing awarselabs.com, installing our software packages (including Healwright and SeatPrune), or subscribing to our Pro tiers, you agree to these Terms.

2. License Grant & Software Usage

• Open Source Core: Open-source repositories published under the MIT license remain governed by their respective licenses.
• Commercial Subscriptions: Subscribing to Pro editions grants you a non-exclusive, revocable, non-transferable license to use pre-built binary distributions, advanced agent integrations, and premium feature updates for your internal software development and QA operations.
• Local Runtime Scope: Software execution is designed to run locally or inside your designated CI/CD environments. You may not reverse-engineer, redistribute, or resell licensed binary components as standalone competitive products.

3. Billing, Renewals, and Cancellations

Subscription billing is handled securely via Stripe. By purchasing a subscription (€19.00/month for SeatPrune Pro or €29.00/month for Healwright), you authorize recurring automatic charges to your designated payment method until cancellation.

You may cancel your recurring subscription at any time through your Stripe billing portal link or by emailing [email protected]. Cancellations take effect at the conclusion of the active billing period.

4. Limitation of Liability & Warranty Disclaimer

Our software and services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. In no event shall Awarse Labs or its proprietor be liable for direct, indirect, incidental, consequential, or punitive damages resulting from test execution errors, locator remediation misconfigurations, or SaaS seat de-provisioning activities.

5. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
